Terms of Service

Summary: You pay us for the software, and the AI that runs it is included in your plan. Services you connect, such as Search Console or your CMS, use your own accounts. You own your content and you decide what to publish. AI output can be wrong, so review it before it goes live. We do not promise rankings or AI citations. You can cancel at any time and export or delete your data. This summary helps you read the terms; the full text below is what applies.

These Terms of Service ("Terms") are an agreement between you and Andolasoft Inc. ("we", "us", "our"), 2059 Camden Ave, #118, San Jose, CA 95124, USA. They cover your use of AgenticSEO at https://www.agenticseo.tools and its related apps and pages (the "Service").

If you use the Service for a company or other organization, you accept these Terms for that organization and confirm that you have the authority to do so. In that case "you" means the organization.

1. What the Service does

AgenticSEO is a web app with AI agents that help you with SEO content and AI visibility. For each site you add, it can track prompts in AI assistants, research keywords, write briefs and drafts, check drafts with a QA gate, publish to the targets you connect, run audits and post to X. The features available to you depend on your plan.

2. Your account

• You must be at least 18 years old and able to make a binding contract.
• Give us true and current information, including a working email address.
• Keep your password safe. You are responsible for everything done under your account. Tell us at once at support@agenticseo.com if you think someone else has used it.
• One person or organization per account. Do not share login details or resell access unless we agree in writing.
• Review links let people read and comment on a draft without an account. You are responsible for who you share those links with. You can revoke a link at any time.

3. Plans, billing and renewals

3.1 Plans

We offer these plans (prices in US dollars, per month):

The pricing page shows the current features and limits of each plan. If the pricing page and this table differ, the pricing page at the time you buy applies.

3.2 Payment

• Paid plans are billed in advance, monthly or yearly. The yearly price equals 10 months of the monthly price.
• Prices do not include taxes. Where the law requires it, we add VAT, GST, sales tax or similar taxes to your invoice. You pay any taxes on your purchase other than taxes on our income.
• You authorize us and our payment provider to charge your payment method for each billing period.
• If a payment fails, we may retry it and tell you. If it still fails, we may move your account to the Free plan or suspend paid features until you pay.

3.3 Renewals and cancellation

• Paid plans renew automatically for the same period (month or year) until you cancel.
• You can cancel at any time in your account. Your plan stays active until the end of the period you paid for, then it does not renew.
• We will tell you by email before a yearly plan renews.

3.4 Price changes

We may change our prices. A new price applies to you only from your next renewal, and we will tell you at least 30 days before it applies. If you do not agree, cancel before the renewal.

3.5 Refunds

Our Refund Policy explains the 14-day money-back promise on your first payment. Other payments are not refundable unless the law says otherwise.

4. AI included

We run the AI models that power the Service. Their cost is included in your plan price, within the limits of your plan (prompts, runs per prompt and articles per site per month). You do not add an AI key or pay an AI provider.

• We choose the models and may change them to keep quality and cost in balance. We will not reduce the limits of your plan during a paid period without telling you first.
• If your usage goes well beyond the limits of your plan, we may ask you to change plans, or limit the jobs that run until the next month.
• Services you connect with your own accounts, such as Search Console, analytics, your CMS, X and optional keyword or results services, are governed by your agreement with each of them.

5. Third-party services you connect

You can connect services such as Google Search Console, Google Analytics 4, PostHog, Bing Webmaster Tools, search result APIs, screenshot services, X and publishing targets (WordPress, Ghost, Webflow, Shopify, GitHub, custom webhooks).

• When you connect a service, you tell us to send and receive data with it on your behalf, using your credentials.
• Those services are not ours. Their own terms and privacy policies apply. We are not responsible for what they do, how available they are or what they charge.
• You must have the right to connect each account, property or site.

6. Your content

"Your Content" means everything you or your connected services put into the Service, and everything the Service makes for you: business profiles, product facts, prompts, keywords, briefs, drafts, articles, images, posts, review notes, and data from your connected services.

• You own Your Content. We claim no ownership of it.
• You give us a limited licence to host, copy, process, send and show Your Content only as needed to run the Service for you, to keep it secure and to follow the law.
• We do not use Your Content to train AI models.
• You are responsible for Your Content and for having the rights you need in it.

7. AI output

The Service uses AI models to write drafts, posts, briefs and analysis ("Output").

• Output can be wrong, incomplete, out of date or similar to content made for others. The QA gate reduces some risks but does not remove them.
• You must review Output before you publish or use it. You are responsible for everything you publish, including content that the Service publishes because you turned on auto-publish or auto-post.
• AI visibility results (such as mention rate) are estimates from a sample of AI answers. AI answers change from run to run.
• We do not guarantee any search ranking, traffic, conversions, or mentions or citations in AI assistants.
• As between you and us, you own the Output, to the extent the law allows. Your AI provider's terms may also apply to Output.

8. Acceptable use

You must follow our Acceptable Use Policy. It is part of these Terms.

9. Our rights and the software

We own the Service, its software, design and brand. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Do not copy, resell, reverse engineer or try to get the source code of the Service, except where the law allows it. If you send us feedback, we may use it without any duty to you.

10. Availability and changes to the Service

We work to keep the Service available but we do not promise it will always be available or free of errors. We may change, add or remove features. If we remove a major feature of a paid plan, we will tell you in advance and you may cancel and get a pro-rata refund of the unused part of a prepaid period.

11. Suspension

We may suspend all or part of your access, with notice where it is reasonable to give it, if:

• you break these Terms or the Acceptable Use Policy;
• your use puts the Service, other customers or third parties at risk;
• you do not pay; or
• the law or a lawful request from an authority requires it.

We will restore access when the reason is fixed.

12. Termination, export and deletion

• You can stop using the Service and cancel at any time. To close your account, delete your sites in the app or email support@agenticseo.com.
• We may end these Terms if you seriously or repeatedly break them, or with 30 days' notice for any other reason. If we end them without a reason caused by you, we refund the unused part of any prepaid period.
• Export: while your account is active, you can copy your articles and other content from the app. For 30 days after your account ends, you can ask us at support@agenticseo.com for a copy of Your Content.
• Deletion: after that, we delete Your Content from our live systems. Backups are overwritten on their normal cycle. The Privacy Policy gives the details. We may keep billing records and other data the law requires us to keep.
• Content you already published to your own CMS or X stays there. You must remove it there if you want it gone.
• Sections that by their nature should survive (for example ownership, disclaimers, liability, indemnity and governing law) survive the end of these Terms.

13. Disclaimer of warranties

To the extent the law allows, the Service and all Output are provided "as is" and "as available". We give no warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Some laws do not allow these exclusions, so some of them may not apply to you.

14. Limitation of liability

To the extent the law allows:

• Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, rankings, traffic, data or goodwill, even if told they were possible.
• Each party's total liability arising out of or relating to these Terms is limited to the amounts you paid us for the Service in the 12 months before the event that gave rise to the claim. If you use only the Free plan, our total liability is limited to US $100.
• We are not liable for charges made by your AI provider or other connected services.

These limits do not apply to your payment duties, to your duties under section 15, or to any liability that the law does not allow to be limited (for example liability for fraud, or for death or personal injury caused by negligence).

15. Indemnity

You will defend and indemnify us, our affiliates and our staff against third-party claims, and the related losses and reasonable legal costs, that arise from: Your Content; content you publish or post with the Service; your use of connected services or keys; or your breach of these Terms or the law. We will tell you about the claim promptly, let you control the defence, and give reasonable help at your cost. You may not settle a claim in a way that admits fault for us without our consent.

16. Governing law and disputes

These Terms are governed by the laws of [Governing law — set COMPANY_JURISDICTION], without regard to conflict of laws rules. The courts of [Governing law — set COMPANY_JURISDICTION] have exclusive jurisdiction over any dispute, except that either party may seek urgent relief in any competent court. If you are a consumer, you keep any rights that the law of your country of residence gives you and that cannot be waived by contract.

Before you start a formal claim, please email support@agenticseo.com so we can try to solve the issue within 30 days.

17. Changes to these Terms

We may update these Terms. If a change is material, we will tell you by email or in the app at least 30 days before it applies, unless the change is required by law or is for security, in which case it may apply sooner. The "updated" date at the top shows the latest version. If you keep using the Service after a change applies, you accept the new Terms. If you do not agree, cancel before the change applies.

18. General

• Entire agreement: these Terms, together with the policies linked here and any order form or Data Processing Agreement you accept, are the whole agreement between us about the Service.
• Assignment: you may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets, and we will tell you.
• Severability: if a part of these Terms cannot be enforced, the rest stays in force.
• No waiver: if we do not enforce a right at once, we do not give it up.
• Force majeure: neither party is liable for delays caused by events outside its reasonable control.
• Notices: we send notices to your account email. You send notices to support@agenticseo.com.
